Foreword

As a 3D design software company dedicated to promoting the digital transformation of the apparel industry, we understand the importance of both technological empowerment and business ethics. By implementing this Code of Conduct, we commit ourselves to taking a solid step forward in fulfilling our corporate responsibility, serving the industry's ecology, and leading the way to a sustainable future. Our products and services are dedicated to:

  • Revolutionize the design process: Reduce material waste in traditional sample making through 3D digital tools and help customers reduce carbon emissions;
  • Protect creative property rights: Ensure encrypted storage and compliant use of design data, defending the intellectual achievements of designers and brands;
  • Promote inclusive innovation: develop design features that accommodate multiple body types and cultural aesthetics to promote equity and diversity in the fashion industry.

Our common goal is to become a global leader in apparel technology, setting a benchmark in technological advancement, customer value creation, employee well-being and industry ecological impact. This Code of Conduct applies to all our employees. We are committed to complying with the Code of Conduct and advocating honest and trustworthy behavior in our daily business.

 

Application

This Code of Conduct applies to Zhejiang Lingdi Digital Technology Co., Limited and its subsidiaries, branches and other entities under actual control worldwide, covering all employees, partners and third-party service providers.

 

General Conduct Requirements

Responsibility for the Reputation of the Style3D

Style3D's reputation depends on most of the actions and behaviors of each employee. Even the misconduct of a single employee can cause serious damage to the organization. Everyone is responsible for ensuring that our public behavior does not damage Style3D's reputation, including through the use
of social networks. We must fulfill our responsibilities in all aspects of this code from start to finish.

Responsibility for Basic Social Rights and Principles

We respect internationally recognized human rights and support their observance. We act in accordance with the applicable requirements of the International Labor Organization. We reject all intentional use of forced or compulsory labor. The use of child labor is strictly prohibited. We meet the minimum age requirements for employment in accordance with the law. Compensation and benefits paid for each regular workweek meet at least the minimum legal standards or are in accordance with the standards of each country or region.

Equal Opportunity and Mutual Respect

We have always been committed to the concept of equality, providing fair opportunities for development and treatment to all persons regardless of race, color, gender, disability, ideology, religious belief, national origin, sexual orientation, social background or political position, provided that their political convictions are in line with the principles of democracy and are inclusive of different points of view. Every member should consciously resist all kinds of discriminatory behaviors (including but not limited to defamation, harassment or bullying, etc.), and actively maintain a mutually respectful and cooperative partnership. Management Culture and Collaboration

We always prioritize employee development. All managers are required to set an example by strictly practicing the requirements of the Code of Conduct and building a benign management ecology through the following ways:

  • Regularly and clearly communicate job authority and responsibility requirements to the team
  • Balance challenge and achievability in goal management and lead teams to meet goal commitments
  • Full empowerment of work autonomy and decision-making space
  • Establishment of a tiered mechanism for recognizing achievements, with a special award for outstanding contributions

Managers are required to be proactive in preventing non-compliance. Management risks are mitigated through the establishment of preventive monitoring mechanisms to identify and correct non-compliance in a timely manner.

 

Avoiding Corruption and Conflicts of Interest

Conflicts of Interest

Employees who have a personal interest in a person or entity that Style3D and its affiliates intend to provide or have provided services to must notify Human Resources and their immediate manager in writing and on their own initiative. Employees should ensure the independence of business decision-making in the course of performing their duties, and it is strictly prohibited for their personal interests to be materially related to Style3D and its affiliates.

Career focus requirements

Employees are expected to devote their primary efforts to working in their primary position of responsibility with the Company and are prohibited from engaging in the following part-time or other incidental employment:

  • Holding any position witha competing company or contracting for any work assignments through a competing company
  • Third-party modeling platform agency
  • Virtual asset trading intermediary services

Combating Corruption

In the pursuit of successful and sustainable business operations, we prove our competitiveness by the quality of our products and the value of our services. We do not support any competition through bribery and reject any corrupt and harmful business practices. No one shall authorize, promise, accept or solicit, directly or indirectly, improper personal benefits (such as money, tangible assets or services) to influence fact-based decision-making.

 

 

Dealing with Business Partners and Third Parties

Fair Competition

We are committed to fair dealings with our business partners and third parties and support free and fair competition in compliance with competition and antitrust laws. Each of our employees is obligated to comply with the requirements of the competition and antitrust laws and not to discuss or enter into any agreements with competitors or business partners that affect market behavior, particularly with respect to pricing, non-competition, false bidding, customer territoriality or project arrangements. We expect our partners to also fully fulfill their responsibilities in maintaining fair competition

As a business company and part of society, we actively defend the legitimate interests of all parties. In doing so, we respect the needs of different stakeholders and balance them in our cooperation. Each employee should ensure that his or her words and actions do not damage Style3D's reputation. When expressing personal opinions, they should avoid implying their position or professional status in the company in order to gain attention. We communicate in an honest and lawful manner and safeguard legitimate interests. We also respect the achievements of our partners and safeguard their reputations.

 

Treatment of Information

Privacy and Data Security

The protection of confidential, sensitive information and personal data is fundamental to our relationships with our employees, job applicants, customers, suppliers and other interested parties. We only collect and use personal data to the extent that it is necessary and legitimate for the purposes for which we provide our services. Every employee is obliged to comply with data protection laws and regulations and the company's rules on information security to prevent unauthorized use or disclosure of confidential, sensitive or personal data entrusted to Style3D. We are committed to implementing industry-wide information security standards to ensure the security of information handling, safeguard the confidentiality, integrity, availability and verifiability of information, and prevent unauthorized internal or external use.

Duty of confidentiality

Each employee is responsible for maintaining the strictest confidentiality of trade secrets acquired or entrusted to him/her in the course of his/her work. Information that is important to Style3D or our partners and has not been made public may not be disclosed.

 

Occupational Safety and Health Protection

We are committed to the safety and health of all our employees and comply with applicable national regulations and policies. We maintain the health of all our employees, increase productivity and improve occupational satisfaction through continuous optimization of the working environment and a variety of protection and safety measures. Each employee is responsible for looking after his or her own health and complying with safety and health management requirements.

 

Environmental Protection

As a company dedicated to reshaping the services of the apparel industry with 3D digital technology, we have a deep understanding of the environmental impact of the design and production process. Through technological innovation, we are committed to reducing the fashion industry's consumption of natural resources and promoting whole-life sustainable practices. Every employee is expected to use natural resources wisely and efficiently and to ensure that our business activities have the least possible impact on the environment.

 

The Protection and Proper Use of Style3D Property

We use Style3D's property only for business needs and not for personal use unless expressly stated otherwise. Each employee is expected to use Style3D's property properly and carefully and to take the necessary steps to prevent its loss or damage.

 

Handling of the Code of Conduct

Responsibility for compliance

We strictly comply with applicable laws and regulations as well as the Company's internal rules and regulations, and ensure that our behavior is consistent with the Company's values and this Code of Conduct. Any violation of the Code of Conduct may lead to consequences, including appropriate measures in accordance with laws, regulations and company rules, and, if necessary, even termination of employment or claims for damages. Each manager shall ensure that employees under his/her management are aware of and comply with this Code of Conduct. If an employee has any questions about the Code of Conduct, it is recommended that he or she first contact his or her immediate manager or may direct further inquiries to the Company's Compliance Department.
